13. Amend and Restate Ethics Policy. Mr. Wilson presented to and reviewed with the Board the Order Adopting Fourth Amended and Restated Code of Ethics Policy (the “Ethics Policy”), a copy of which is attached hereto as Exhibit I. Upon motion by Director Higgins, seconded by Director Randall, after full discussion and the question being put to the Board, the Board voted unanimously to revise Section 2.04 to include the reimbursement of one meal for special meetings that last longer than three hours.
