Staff Report & Agenda Item Details

8. Renew district insurance and indemnification of directors. Mr. Graham reported that NRF requested proposals from Arthur J. Gallagher and Brown & Brown Lone Star Insurance Services, Inc (“Brown & Brown”). He stated that due to the District’s claim history, Arthur J. Gallagher denied providing a proposal and that Brown & Brown was not able to provide a proposal this year. He then presented to and reviewed with the Board the renewal proposal from McDonald & Wessendorff Insurance (“McDonald”), a copy of which is attached hereto as Exhibit H. Discussion ensued. Mr. Graham stated that due to the increase in property value, the renewal premium is increasing to $48,380.00 from $40,543.00. 297140570.1 Upon motion by Director Jacobs, seconded by Director Maxwell, after full discussion and the question being put to the Board, the Board voted unanimously to approve the insurance proposal from McDonald with a premium of $48,380.00. Mr. Graham stated that to the extent that the directors and officers insurance policy does not cover losses of directors carrying out their lawful duties in good faith, the District can indemnify the directors for losses to the extent of available surplus funds. He presented to the Board a Resolution Authorizing Indemnification of Directors (the “Resolution”), a copy is attached as Exhibit I. Upon motion by Director Smith-Boards, seconded by Director Higgins, after full discussion and the question being put to the Board, the Board voted unanimously to approve the Resolution.
