Upon motion by Director Smith-Boards, seconded by Director Higgins, after full discussion and the question being put to the Board, the Board voted unanimously to appoint Ms. Maxwell as a Director for the remainder of previous director, Sonya Jones’ term expiring May 2026. 136946101.1
