2. Discuss board vacancy and conduct candidate interviews. Ms. Nelson joined the meeting at this time. Mr. Graham recognized Ms. Nelson, who introduced herself to the Board. The Board introduced themselves to Ms. Nelson and President Jacobs provided an overview of the District. The Board then asked Ms. Nelson a series of candidate interview questions, copies of which are attached hereto as Exhibit B. Ms. Nelson then asked the Board questions regarding the director vacant position. The Board thanked Ms. Nelson for her time. Ms. Nelson left the meeting at this time. Ms. Maxwell joined the meeting at this time. Mr. Graham recognized Ms. Maxwell, who introduced herself to the Board. The Board introduced themselves to Ms. Maxwell and President Jacobs provided an overview of the District. The Board then asked Ms. Maxwell a series of candidate interview questions. Ms. Maxwell then asked the Board questions regarding the vacant director position. The Board thanked Ms. Maxwell for her time. Ms. Maxwell left the meeting at this time. The Board discussed the director candidate interview. Upon motion by Director Smith- Boards, seconded by Director Randall, after full discussion and the question being put to the Board, the Board voted unanimously to appoint Ms. Maxwell to the vacant director position. Mr. Graham stated that her official appointment would be placed on the regular July agenda. 136675858.1
