3. Discuss pending board vacancy and conduct candidate interviews. Mr. Wilson discussed the process of conducting the candidate interviews and scoring candidates. Ms. Carter joined the meeting at this time. President Boards recognized Ms. Carter, who introduced herself to the Board. President Boards then asked Ms. Carter a series of candidate interview questions, copies of which are attached hereto as Exhibit B. President Boards thanked Ms. Carter for her time. Ms. Carter left the meeting at this time. Mr. Wilson asked for Board direction for the process of considering Director Jacobs, who is currently serving as a hold over director and previously expressed interest to remain on the Board, but is not interviewing as a candidate. Preliminary discussion ensued. It was the consensus of the Board to defer this discussion until after Ms. Evans’ interview. 304235621.1 Ms. Evans joined the meeting at this time. President Boards recognized Ms. Evans, who introduced herself to the Board. President Boards then asked Ms. Evans a series of candidate interview questions. President Boards thanked Ms. Evans for her time. Ms. Evans left the meeting at this time. The Board then continued the discussion regarding consideration of Director Jacobs. Mr. Wilson clarified that Director Jacobs did express interest in being reappointed to the Board via email in March. A motion was made by Director Randall, and seconded by Director Boards, to not consider candidates who do not show up to be interviewed. The motion failed due to a lack of majority vote, with Directors Maxwell and Higgins opposing.
